Daher ist die Organschaft das einzige Konstrukt zur Besteuerung von verbundenen Unternehmen. Grundsätzlich erfolgt bei Kapitalgesellschaften eine individuelle Besteuerung. Dieser Grundsatz wird durchbrochen, wenn sich rechtlich selbständige Unternehmen unter Aufgabe ihrer wirtschaftlichen Selbständigkeit zusammenschließen. Derartige Zusammenschlüsse sind auch unter dem Begriff Konzern nach
18 AktG bekannt. Jedoch kommt für die Organschaft nur das Gebilde eines Unterordnungskonzerns in Frage, da sich das rechtlich selbständige Unternehmen einer einheitlichen Leitung eines anderen Unternehmens unterwirft. Die untergeordnete Kapitalgesellschaft (Organgesellschaft) wird steuerrechtlich als unselbständiger Teil des übergeordneten Unternehmens (Organträger) betrachtet und beide zusammen bilden eine wirtschaftliche Einheit. Nach der Zurechnungstheorie werden innerhalb des Organkreises die Gewinne oder Verluste der Organgesellschaft den Einkünften des Organträgers zugerechnet und auf dessen Ebene versteuert. Der Hauptvorteil der Organschaft liegt somit in der steuerlichen Verlustverrechnung. Die vorliegende Arbeit soll eine Übersicht über die Organschaft im Körper-schafts- und Gewerbesteuerrecht geben. Die umsatzsteuerliche Organschaft wird im Rahmen dieser Arbeit nicht berücksichtigt. Nach einer kurzen Einfüh-rung in das Thema Organschaft werden die ertragssteuerlichen Voraussetzun-gen für die Begründung einer Organschaft analysiert. Im Hauptteil dieser Arbeit werden die steuerlichen Rechtsfolgen dahingehend erläutert, dass zwei Aspekte nämlich die körperschaftssteuerliche Einkommensermittlung und die gewerbesteuerlichen Auswirkungen genauer aufgegriffen werden. In einem Fallbeispiel wird im Vergleich die Besteuerung einer Organschaft und einer Nicht-Organschaft untersucht. Die Arbeit schließt mit einem Fazit.
